Điều khoản sử dụng

1. Tính chất và Phạm vi của Điều khoản và Điều kiện

Các điều khoản và điều kiện sau đây thiết lập quan hệ giữa Công ty TNHH MEDBRAIN (sau đây gọi là “MEDBRAIN”) và những cá nhân là thành viên hoặc không là thành viên của ViCeph và sử dụng dịch vụ ViCeph. Những điều khoản và điều kiện này mô tả những quyền, nghĩa vụ và các chi tiết cần thiết giữa các thành viên và MEDBRAIN liên quan đến việc sử dụng dịch vụ ViCeph được cung cấp bởi MEDBRAIN. Mục đích của những điều khoản này là cung cấp sự rõ ràng và hướng dẫn.

Bằng cách sử dụng dịch vụ ViCeph hoặc đăng ký làm thành viên, bạn được yêu cầu công nhận và đồng ý với những điều khoản và điều kiện này. Trong khi những điều khoản và điều kiện này áp dụng chung cho tất cả các dịch vụ của ViCeph, có thể có các điều khoản và chính sách vận hành cụ thể cho từng dịch vụ cụ thể nhằm tuân thủ luật pháp và quy định hiện hành và để đáp ứng các mục tiêu của mỗi dịch vụ tương ứng.

2. Dịch vụ ViCeph

Dịch vụ ViCeph là một nền tảng đám mây trí tuệ nhân tạo chuyên về chẩn đoán nha khoa và phẫu thuật hàm mặt được phát triển bởi các chuyên gia nha khoa và phẫu thuật răng miệng. Nó được thiết kế để hỗ trợ phân tích dữ liệu chẩn đoán cho việc chỉnh nha và phẫu thuật hàm mặt, cũng như cung cấp một nền tảng để chia sẻ các ca lâm sàng và thảo luận học thuật. Dịch vụ ViCeph có thể được truy cập bằng cách sử dụng các thiết bị kết nối internet như máy tính cá nhân hoặc điện thoại di động. Để biết thông tin chi tiết về từng dịch vụ, vui lòng tham khảo trang web ViCeph.

Cần lưu ý rằng dịch vụ ViCeph nhằm hỗ trợ các bác sĩ trong việc chẩn đoán, lập kế hoạch điều trị và thực hành y tế. Tuy nhiên, ViCeph không phải là một cơ sở y tế hoặc nhà cung cấp dịch vụ chăm sóc sức khỏe và không cung cấp lời khuyên y tế hoặc chẩn đoán. Nói cách khác, dịch vụ ViCeph không thay thế ý kiến chuyên môn hoặc chuyên gia. MedBrain mạnh mẽ khuyến nghị rằng các thành viên nên tham khảo ý kiến của các chuyên gia y tế, xác lập kế hoạch điều trị và tiến hành các liệu pháp hoặc tư vấn y tế song song với việc sử dụng dịch vụ ViCeph.

Trong khi MedBrain cung cấp cùng một dịch vụ cho tất cả các thành viên, phạm vi dịch vụ có thể khác nhau cho từng dịch vụ cụ thể nhằm tuân thủ các luật pháp và quy định hiện hành và để đạt được mục tiêu cụ thể của dịch vụ đó. Ví dụ, một số dịch vụ ViCeph chỉ có sẵn cho các thành viên có trình độ chuyên môn y tế và có thể yêu cầu chứng chỉ về trình độ đó để truy cập.

MedBrain giữ quyền sửa đổi, tạm ngừng hoặc chấm dứt một phần hoặc toàn bộ nội dung trang web ViCeph hoặc dịch vụ ViCeph vì các lý do như tuân thủ các luật pháp và quy định, bảo trì và quản lý dịch vụ và quyết định kinh doanh. Ví dụ, việc bảo trì định kỳ hoặc không định kỳ, sửa lỗi hoặc các thay đổi khác có thể làm cần tạm ngừng trang chủ ViCeph hoặc một số hoạt động trong dịch vụ ViCeph. Ngoài ra, MedBrain có thể ngừng hoạt động dịch vụ ViCeph tại các khu vực cụ thể. Nếu một thành viên vi phạm các điều khoản và điều kiện hoặc các luật liên quan, dịch vụ có thể bị chấm dứt đối với thành viên đó.

3. Đăng ký

Các thành viên khởi tạo nội dung thông qua ViCeph thì được giữ quyền sở hữu trí tuệ đối với nội dung đã tạo theo quy định của các luật pháp và quy định hiện hành. Quyền sở hữu trí tuệ liên quan đến ViCeph (như các nhãn hiệu của MedBrain) và quyền sở hữu trí tuệ của tất cả các tài liệu được lưu trữ, hiển thị hoặc truy cập trên trang chủ ViCeph thuộc sở hữu hoặc được cấp phép bởi MedBrain. Nếu không có sự đồng ý bằng văn bản từ MedBrain, bạn không được phép sửa đổi, sao chép, tái bản, xuất bản lại, tải lên, đăng, chuyển giao, phân phối, bán, cấp phép, cho thuê, hiển thị công khai hoặc thực hiện công khai, chỉnh sửa hoặc tạo ra các tác phẩm phái sinh dựa trên các dịch vụ ViCeph hoặc bất kỳ tài liệu nào được tìm thấy trên trang chủ ViCeph.

Tuy nhiên, các thành viên được phép xem, sử dụng, tải xuống và in các phần đã chọn của trang chủ ViCeph cho mục đích nghiên cứu học tập, cá nhân, phi thương mại, miễn là họ không sao chép hoặc đăng công khai nội dung ViCeph đã phát hành.

MedBrain sẽ không chịu trách nhiệm đối với bất kỳ vi phạm quyền sở hữu trí tuệ của bên thứ ba nào có thể xảy ra trong quá trình tạo nội dung bởi các thành viên, cũng như không chịu trách nhiệm đối với bất kỳ tranh chấp về quyền sở hữu trí tuệ giữa các thành viên phát sinh từ việc sử dụng nội dung của thành viên khác.

4. Các loại dịch vụ và cách sử dụng chúng

MedBrain cung cấp một số dịch vụ cho các thành viên của mình, bao gồm:

• Dịch vụ phân tích dữ liệu y học chẩn đoán nha khoa: Dịch vụ này sử dụng trí tuệ nhân tạo để phân tích dữ liệu chẩn đoán liên quan đến các vấn đề nha khoa, giúp các bác sĩ có được những hiểu biết quan trọng và hỗ trợ trong quá trình lập kế hoạch điều trị.
• Dịch vụ thảo luận lâm sàng và học thuật cho các bác sĩ và nhà nghiên cứu: MedBrain cung cấp một nền tảng cho các bác sĩ và nhà nghiên cứu để tham gia vào các cuộc thảo luận, chia sẻ các ca lâm sàng và trao đổi kiến thức và chuyên môn trong lĩnh vực nha khoa.
• Dịch vụ truyền thông dữ liệu lâm sàng và dữ liệu giáo dục giữa bác sĩ và bệnh nhân: Dịch vụ này giúp việc truyền dữ liệu lâm sàng giữa các bác sĩ và bệnh nhân trở nên an toàn. Nó cũng cho phép việc cung cấp tài liệu giáo dục cho bệnh nhân để tham khảo và hiểu rõ hơn.
• Các dịch vụ giáo dục dưới dạng bài giảng video và bài giảng văn bản: MedBrain cung cấp tài liệu giáo dục như bài giảng video và bài giảng văn bản để nâng cao kiến thức và kỹ năng của các chuyên gia nha khoa.
• Các dịch vụ khác được cung cấp thông qua các thỏa thuận phát triển hoặc đối tác bổ sung: MedBrain có thể giới thiệu các dịch vụ mới hoặc hợp tác với các công ty khác để mở rộng phạm vi các dịch vụ đối với các thành viên.

Để sử dụng các dịch vụ này, cá nhân cần đăng ký và trở thành thành viên của MedBrain. Quy trình cụ thể để đăng ký và truy cập các dịch vụ sẽ được MedBrain cung cấp trên nền tảng của mình. Các thành viên có thể cần cung cấp một số thông tin và đồng ý với các điều khoản và điều kiện được đề ra bởi MedBrain.

5. Hạn chế về việc sử dụng dịch vụ

MedBrain có thể áp đặt các hạn chế về việc sử dụng dịch vụ của mình trong một số trường hợp như sau:

• Trong thời gian sửa chữa, nâng cấp, kiểm tra, thay thế, tấn công hack hoặc trong các trường hợp khác làm khó khăn cho việc cung cấp dịch vụ bình thường.
• Trong trường hợp hoạt động dịch vụ trở nên không thể do các sự kiện bất khả kháng như thiên tai, chiến tranh, vụ nổ, khủng bố, v.v.
• Khi thành viên vi phạm các điều kiện nêu tại Điều 6 hoặc tham gia vào các hoạt động bị cấm khác.

Khi MedBrain có ý định hạn chế việc sử dụng dịch vụ, sẽ thông báo trước cho các thành viên qua email hoặc thông báo trên nền tảng dịch vụ. Tuy nhiên, trong các tình huống khẩn cấp, thông báo có thể được đăng sau khi hạn chế dịch vụ đã được thực hiện. Đáng lưu ý rằng MEDBRAIN không chịu trách nhiệm đối với bất kỳ hạn chế nào về việc sử dụng dịch vụ mà nằm ngoài khả năng kiểm soát của nó.

6. Hủy bỏ hợp đồng sử dụng dịch vụ

Các thành viên có quyền chọn để chấm dứt hoặc hủy bỏ hợp đồng sử dụng dịch vụ của mình bằng cách tuân thủ quy trình chấm dứt do MedBrain quy định. MedBrain cũng có thể chấm dứt hoặc hủy bỏ hợp đồng sử dụng dịch vụ với một thành viên vì các lý do khác nhau, bao gồm:

• Khi thành viên vi phạm các điều khoản và điều kiện hoặc các luật liên quan đến mức độ làm cho việc thực hiện hợp đồng trở nên khó khăn.
• Khi thành viên cung cấp thông tin sai lệch, đặc biệt là liên quan đến đủ điều kiện sử dụng dịch vụ.
• Khi thành viên thực hiện các hoạt động gian lận hoặc sử dụng tên hoặc thông tin thanh toán của người khác.
• Khi thành viên sử dụng dịch vụ ViCeph cho mục đích phi pháp.
• Khi thành viên can thiệp vào hoạt động của dịch vụ ViCeph.
• Khi thành viên phân tán các chương trình virus hoặc tham gia vào các hoạt động hack.
• Các tình huống khác mà MedBrain đánh giá một cách khách quan là cần thiết để từ chối cung cấp dịch vụ.

Trong trường hợp chấm dứt hoặc hủy bỏ bởi MedBrain, các thành viên có thể được cung cấp một khoảng thời gian hợp lý để nộp đơn khiếu nại và nếu đơn khiếu nại có căn cứ, dịch vụ có thể được khôi phục một cách nhanh chóng.

7. Quyền sở hữu trí tuệ

Quyền sở hữu trí tuệ cho nội dung được thành viên tạo ra thông qua dịch vụ ViCeph thuộc về thành viên theo quy định của các luật và quy định liên quan. Tuy nhiên, quyền sở hữu trí tuệ liên quan đến các dịch vụ ViCeph (như nhãn hiệu của MedBrain) và quyền sở hữu trí tuệ của tài liệu được lưu trữ, hiển thị hoặc truy cập trên trang chủ ViCeph thuộc sở hữu hoặc được cấp phép bởi MedBrain. Thành viên không được phép sửa đổi, sao chép, tái sản xuất, xuất bản lại, tải lên, đăng, phân phối, bán, cấp phép, trưng bày công khai, thực hiện hoặc tạo ra các công trình phái sinh dựa trên các dịch vụ ViCeph hoặc tài liệu mà không có sự đồng ý bằng văn bản của MedBrain. Tuy nhiên, thành viên có thể xem, sử dụng, tải xuống và in các phần được chọn của trang chủ ViCeph cho mục đích cá nhân, phi thương mại và cung cấp thông tin, miễn là họ không đăng tải nội dung mặc định của ViCeph. MedBrain không chịu trách nhiệm đối với bất kỳ vi phạm quyền sở hữu trí tuệ của bên thứ ba nào phát sinh từ việc thành viên tạo nội dung hoặc các tranh chấp giữa các thành viên liên quan đến việc sử dụng nội dung của nhau.

8. Chính sách quản lý dữ liệu

Các dịch vụ ViCeph liên quan đến việc chuyển giao, lưu trữ, sao chép, xóa và chỉnh sửa dữ liệu có liên quan đến dịch vụ đám mây. MedBrain yêu cầu quyền quản lý dữ liệu để cung cấp các dịch vụ này một cách hiệu quả. Bằng cách sử dụng dịch vụ ViCeph, các thành viên cấp cho MedBrain quyền sử dụng, lưu trữ, sao chép, sửa đổi, truyền tải, tiết lộ, giải thích, đăng tải công khai, phân phối hoặc tạo ra các công trình phái sinh dựa trên dữ liệu được cung cấp bởi các thành viên. Giấy phép này vẫn có hiệu lực ngay cả khi thành viên ngừng sử dụng dịch vụ hoặc vô hiệu hóa tài khoản của mình, và MedBrain có thể sử dụng dữ liệu để cải tiến các dịch vụ hiện có hoặc phát triển dịch vụ mới.

9. Thu thập thông tin cá nhân

MedBrain cam kết bảo vệ thông tin cá nhân của các thành viên theo quy định của các luật và quy định liên quan. Công ty tuân theo chính sách xử lý thông tin cá nhân để đảm bảo việc xử lý và sử dụng thông tin cá nhân được thực hiện một cách đúng đắn.

Theo nguyên tắc chung, MedBrain không cung cấp thông tin cá nhân cho bên thứ ba mà không có sự đồng ý của cá nhân, trừ trường hợp cần cung cấp thông tin cho các cơ quan điều tra hoặc các cơ quan ban ngành khác theo yêu cầu của các luật liên quan.

Khi cần thiết, MedBrain có thể cung cấp thông tin cho các công ty được ủy quyền để mục đích điều tra, và công ty đảm nhận trách nhiệm quản lý và giám sát việc xử lý an toàn thông tin cá nhân của người dùng.

MedBrain không thu thập thông tin cá nhân từ những người dưới 18 tuổi.

Việc xem xét và hiểu rõ chính sách bảo mật và các điều khoản dịch vụ cụ thể của MedBrain là rất quan trọng để có một cái nhìn toàn diện về cách công ty xử lý thông tin cá nhân và bảo vệ quyền riêng tư của người dùng.

10. Uỷ quyền Thông tin Cá nhân cho dịch vụ ViCeph

Khi một thành viên cung cấp dữ liệu cho MedBrain để sử dụng dịch vụ ViCeph, thành viên giữ lại tất cả các quyền pháp lý đối với thông tin cá nhân (thông tin bệnh nhân) và phải nhận được sự đồng ý từ chủ thể thông tin (bệnh nhân) để uỷ quyền thông tin cá nhân (thông tin bệnh nhân).

Vi phạm các luật liên quan, các điều khoản và điều kiện của dịch vụ ViCeph và các chính sách vận hành liên quan đến việc ủy quyền thông tin cá nhân (thông tin bệnh nhân) có thể dẫn đến việc tạm ngừng cung cấp dịch vụ ViCeph, xóa thông tin cá nhân (thông tin bệnh nhân), hạn chế việc sử dụng dịch vụ ViCeph của thành viên hoặc tạm ngừng hoạt động tài khoản. MedBrain không chịu trách nhiệm đối với tranh chấp giữa thành viên và chủ thể thông tin (bệnh nhân) hoặc bất kỳ thiệt hại nào gây ra cho chủ thể thông tin do vi phạm các luật và quy định.

Bằng việc đồng ý với các điều khoản và điều kiện này, thành viên được xem là đã ủy quyền việc xử lý thông tin cá nhân cho MedBrain theo Điều 11 của Nghị định Bảo vệ Dữ liệu Cá nhân 13/2023/NĐ-CP ký ngày 17/04/2023. Vui lòng lưu ý các thông tin sau đây liên quan đến việc ủy quyền xử lý thông tin cá nhân:

• Mục đích và phạm vi công việc được ủy quyền: MedBrain xử lý thông tin cá nhân (thông tin bệnh nhân) được ủy quyền bởi các thành viên chỉ cho mục đích cung cấp dịch vụ. Dưới mọi tình huống, MedBrain không xử lý thông tin cá nhân (thông tin bệnh nhân) vượt quá phạm vi mục đích ủy quyền. 
• Thời gian ủy quyền: MedBrain được ủy quyền xử lý thông tin cá nhân (thông tin bệnh nhân) trong suốt thời gian sử dụng dịch vụ của thành viên.
• Hạn chế việc chuyển giao lại: MedBrain bị cấm chuyển giao hoặc ủy quyền lại bất kỳ thông tin cá nhân (thông tin bệnh nhân) nào được ủy quyền từ thành viên cho bên thứ ba, trừ khi có sự đồng ý trước từ thành viên. Bằng việc đồng ý với các điều khoản và điều kiện này, thành viên được coi là đã đọc và đồng ý với các chi tiết sau đây liên quan đến việc ủy quyền lại việc xử lý thông tin cá nhân (thông tin bệnh nhân) như được mô tả ở trên..
• Biện pháp bảo vệ thông tin cá nhân (thông tin bệnh nhân): MedBrain thực hiện các biện pháp kỹ thuật và quản lý cần thiết để đảm bảo an toàn cho thông tin cá nhân (thông tin bệnh nhân) được ủy quyền, tuân thủ các quy định liên quan trong Nghị định Bảo vệ Dữ liệu Cá nhân 13/2023/NĐ-CP.
• Các vấn đề liên quan đến giám sát, bao gồm việc theo dõi Quản lý Thông tin Cá nhân (Thông tin Bệnh nhân): MedBrain cung cấp cho thành viên quyền truy cập để giám sát tình trạng xử lý thông tin cá nhân (thông tin bệnh nhân) được ủy quyền, bao gồm lịch sử truy cập và việc sử dụng cho các mục đích khác. Thành viên cũng có thể yêu cầu xác nhận liên quan đến việc tuân thủ các quy định và hạn chế ủy quyền lại, cũng như hỏi về việc thực hiện các biện pháp bảo mật như mã hóa.

11. Xử lý Thông tin Ẩn danh

Thông tin ẩn danh đề cập đến dữ liệu không thể xác định hoặc liên kết với bất kỳ cá nhân cụ thể nào khi kết hợp với các thông tin khác có sẵn, xem xét các yếu tố như thời gian, chi phí và công nghệ. Trong quá trình sử dụng dịch vụ ViCeph, các thành viên có thể cung cấp hoặc tiết lộ thông tin ẩn danh cho MedBrain và các thành viên khác. Trong những trường hợp như vậy, không cần có sự đồng ý của chủ thể thông tin (bệnh nhân) được đề cập trong Điều 7.

Ví dụ, những bức ảnh không thể được sử dụng để xác định một bệnh nhân thông qua các phương tiện công nghệ có thể được coi là thông tin ẩn danh.

MedBrain không đảm bảo tính ẩn danh hoàn toàn của thông tin ẩn danh được cung cấp hoặc tiết lộ bởi các thành viên. Các thành viên chịu trách nhiệm về mọi rủi ro phát sinh từ việc không đủ ẩn danh. Trước khi cung cấp thông tin ẩn danh, cần xem xét và đảm bảo tính phù hợp của quá trình ẩn danh.

Hơn nữa, thông tin ẩn danh được tiết lộ bởi các thành viên trong cơ sở dữ liệu có thể được MedBrain tự do sử dụng cho các mục đích như phát triển dịch vụ mới.

12. Bảo vệ và Quản lý thông tin cá nhân

MedBrain thu thập và sử dụng thông tin cá nhân có trong dữ liệu đã được ủy quyền cho các thành viên, bao gồm thông tin cá nhân của chính họ, chỉ dùng trong mục đích và phạm vi đã được đồng ý và không cung cấp cho bên thứ ba khác ngoài MedBrain mà không có sự đồng ý của thành viên. Thông tin cá nhân được quản lý một cách an toàn tuân thủ các luật và quy định hiện hành về bảo vệ thông tin cá nhân.

Chủ thể thông tin (bệnh nhân) có quyền yêu cầu truy cập, sửa đổi hoặc xóa thông tin cá nhân của mình từ MedBrain bất kỳ lúc nào. Các thành viên cũng có thể rút lại sự đồng ý cung cấp thông tin cá nhân cho MedBrain.

13. Trách nhiệm của thành viên

Bằng việc xác nhận rằng họ đủ 18 tuổi trở lên, các thành viên đồng ý chịu trách nhiệm xem xét và tuân thủ các Điều khoản và Điều kiện này khi đăng ký. Vi phạm các điều khoản và điều kiện này có thể dẫn đến việc tạm ngừng cung cấp dịch vụ ViCeph và chấm dứt tài khoản. Các thành viên bị cấm tham gia vào các hoạt động sau đây:

• Cung cấp thông tin thành viên giả mạo trong quá trình đăng ký
• Bán, chuyển nhượng, cho vay hoặc cung cấp tài khoản của họ cho người khác làm tài sản thế chấp
• Cho phép sử dụng tài khoản của họ mà không được ủy quyền
• Sử dụng dịch vụ ViCeph với mục đích giả mạo hoặc vi phạm pháp luật
• Mạo danh cá nhân hoặc tổ chức, hoặc giả mạo mối quan hệ với họ
• Thực hiện các hành động gây hại hoặc xâm phạm gây gián đoạn hoặc gây thiệt hại đến dịch vụ ViCeph, bao gồm chiếm đoạt hoạt động hoặc theo dõi phần cứng, phần mềm hoặc thiết bị
• Phát tán virus, sâu máy tính, Trojan, time bombs, phần mềm gián điệp hoặc mã máy tính khác có thể giới hạn hoặc ngăn chặn người khác sử dụng dịch vụ ViCeph
• Xóa, làm mờ hoặc sửa đổi các thông báo bản quyền, thương hiệu hoặc thông báo sở hữu khác trên trang web ViCeph

Nếu một thành viên không thực hiện đúng nghĩa vụ của mình theo các điều khoản và điều kiện này, MedBrain giữ quyền của mình, ngay cả khi không thực hiện ngay hoặc trì hoãn thực thi. Trong những trường hợp như vậy, bất kỳ việc tước bỏ quyền lợi thành viên cũng được MedBrain thực hiện bằng văn bản.

Ngoài ra, các thành viên phải có trách nhiệm tự bảo vệ tài khoản và các nội dung của mình đưa lên bằng cách: không chia sẻ thông tin tài khoản đăng nhập, không cung cấp quyền truy cập cho người khác, tăng tính bảo vệ cho các thiết bị truy cập ViCeph khỏi virus máy tính, worm, trojan, tấn công mạng…

14. Trách nhiệm của MedBrain

MedBrain không chịu trách nhiệm đối với bất kỳ thiệt hại đặc biệt hoặc thiệt hại trừng phạt nào mà thường không thể dự đoán. Ngoài ra, MedBrain không chịu trách nhiệm đối với thiệt hại do thiên tai hoặc sự kiện nằm ngoài khả năng kiểm soát của mình.

MedBrain không cung cấp bất kỳ bảo đảm nào, cả rõ ràng hay ngụ ý, liên quan đến tính chính xác, phù hợp, kịp thời, đầy đủ hoặc đáng tin cậy của các nghiệp vụ sau đây:

• Kết quả dịch vụ ViCeph (kết quả mô phỏng, v.v.)
• Nội dung được tạo bởi các thành viên trong quá trình sử dụng dịch vụ ViCeph
• Tất cả nội dung được bao gồm trong hoặc được gửi qua trang chủ ViCeph
• Kế hoạch điều trị được tạo bởi các bác sĩ sử dụng dịch vụ ViCeph và các hành động y tế tiếp theo của họ

Mặc dù trang chủ ViCeph có thể chứa liên kết đến các trang web của bên thứ ba, bao gồm các nền tảng truyền thông xã hội như Facebook và YouTube, nhưng các liên kết này chỉ được cung cấp để thuận tiện cho các thành viên. MedBrain không chứng nhận hoặc đảm bảo nội dung của các trang web hoặc mạng xã hội bên ngoài.

Các thành viên bị cấm sử dụng dịch vụ ViCeph cho bất kỳ mục đích thương mại hoặc kinh doanh nào. MedBrain không chịu trách nhiệm đối với bất kỳ trách nhiệm pháp lý hoặc tổn thất nào phát sinh đối với các thành viên do việc sử dụng như vậy.

15. Bồi thường

Nếu một thành viên có ý định hoặc vô tình vi phạm các Điều khoản và Điều kiện này và gây thiệt hại cho MedBrain, họ có trách nhiệm bồi thường cho thiệt hại phát sinh.

16. Thanh toán và hoàn tiền

Thanh toán cho các dịch vụ trả phí có thể được thực hiện bằng các phương thức được MedBrain quy định. Thành viên chịu trách nhiệm cho bất kỳ khoản phí giao dịch hoặc các phí liên quan đến phương thức thanh toán.

Các khoản phí cho các dịch vụ trả phí do MedBrain quy định và có thể thay đổi. Thay đổi về các khoản phí sẽ được thông báo trước cho các thành viên thông qua các phương tiện thích hợp như trang web ViCeph hoặc email.

Hoàn tiền cho các dịch vụ trả phí có thể được cấp theo chính sách hoàn tiền của MedBrain. Chính sách hoàn tiền sẽ được nêu rõ trên trang web ViCeph hoặc được cung cấp riêng cho thành viên.

17. Chấm dứt dịch vụ

MedBrain có thể chấm dứt hoặc tạm ngừng cung cấp dịch vụ ViCeph trong các trường hợp sau:

• Bảo trì định kỳ hoặc cập nhật dịch vụ
• Sự cố hệ thống bất ngờ hoặc khó khăn kỹ thuật
• Thay đổi phạm vi hoặc chính sách dịch vụ
• Vi phạm các Điều khoản và Điều kiện này bởi thành viên
• Những lý do chính đáng khác do MedBrain quy định

Trong trường hợp chấm dứt hoặc tạm ngừng dịch vụ ViCeph, MedBrain sẽ thông báo trước cho các thành viên thông qua các kênh thích hợp.

18. Luật áp dụng và thẩm quyền

Các Điều khoản và Điều kiện này được quy định và hiểu theo luật pháp của phạm vi pháp lý nơi MedBrain đặt trụ sở.

Bất kỳ tranh chấp phát sinh từ việc sử dụng dịch vụ ViCeph sẽ được giải quyết thông qua đàm phán thiện chí giữa các bên. Nếu không thể đạt được thỏa thuận, tranh chấp sẽ được đệ trình cho tòa án có thẩm quyền tại phạm vi pháp lý nơi MedBrain đặt trụ sở.

19. Giải quyết tranh chấp

Trên tin thần thiện chí, MedBrain muốn giải quyết các vấn đề của tranh chấp mà không cần đến một vụ kiện pháp lý chính thức.

Trước khi gửi khiếu nại chống lại MedBrain, bên khiếu nại phải đồng ý giải quyết tranh chấp thông qua thương lượng. MedBrain sẽ cố gắng giải quyết tranh chấp này thông qua
email. Nếu tranh chấp không được giải quyết trong vòng 45 ngày kể từ ngày gửi, bên khiếu nại hoặc MedBrain có thể đưa ra những thủ tục pháp lý chính thức.

Tất cả các tranh chấp với MedBrain chỉ dựa trên cơ sở là cá nhân và không được đưa ra khiếu nại với tư cách là nguyên đơn hoặc thành viên tập thể trong một hành động tập thể, hợp nhất hoặc đại diện. MedBrain không chấp nhận phân xử tập thể, khởi kiện tập thể, hành động của luật sư riêng và hợp nhất với các trọng tài khác. Nếu đoạn văn bản cụ thể này không thể thi hành được, thì các điều khoản này sẽ bị coi là vô hiệu theo đúng luật pháp.

20. Có hiệu lực riêng

Nếu bất kỳ quy định nào trong các Điều khoản và Điều kiện này được xác định là không hợp lệ hoặc không thể thi hành, các quy định còn lại sẽ tiếp tục có hiệu lực và thi hành đến mức tối đa được phép theo pháp luật.

21. Toàn bộ thỏa thuận

Các Điều khoản và Điều kiện này tạo thành toàn bộ thỏa thuận giữa MedBrain và các thành viên về việc sử dụng dịch vụ ViCeph và thay thế bất kỳ thỏa thuận hoặc hiểu biết trước đây, cho dù bằng văn bản hoặc miệng.

22. Thông tin liên hệ

Đối với các yêu cầu hoặc báo cáo liên quan đến dịch vụ ViCeph hoặc các Điều khoản và Điều kiện này, vui lòng liên hệ MedBrain sử dụng thông tin liên hệ được cung cấp trên trang web ViCeph hoặc thông qua các kênh được chỉ định.

Terms and Conditions

1. Nature and Scope of Terms and Conditions

The following terms and conditions establish the relationship between MEDBRAIN Limited Liability Company (hereinafter referred to as “MEDBRAIN”) and individuals who are members or non-members of ViCeph and use the ViCeph service. These terms and conditions describe the rights, obligations, and necessary details between members and MEDBRAIN related to the use of the ViCeph service provided by MEDBRAIN. The purpose of these terms is to provide clarity and guidance.

By using the ViCeph service or registering as a member, you are required to acknowledge and agree to these terms and conditions. While these terms and conditions apply generally to all ViCeph services, there may be specific terms and operational policies for each specific service to comply with applicable laws and regulations and to meet the objectives of each corresponding service.

2. ViCeph Service

The ViCeph service is an artificial intelligence cloud platform specializing in dental diagnosis and maxillofacial surgery developed by dental and oral surgery experts. It is designed to support diagnostic data analysis for orthodontics and maxillofacial surgery, as well as provide a platform for sharing clinical cases and academic discussions. The ViCeph service can be accessed using internet-connected devices such as personal computers or mobile phones. For detailed information about each service, please refer to the ViCeph website.

It should be noted that the ViCeph service aims to support healthcare professionals in diagnosis, treatment planning, and medical practice. However, ViCeph is not a healthcare facility or provider of healthcare services and does not provide medical advice or diagnosis. In other words, the ViCeph service does not substitute for professional opinions or expertise. MedBrain strongly recommends that members consult with healthcare professionals, establish treatment plans, and undergo medical therapies or consultations in parallel with the use of the ViCeph service.

While MedBrain provides the same service to all members, the scope of the service may vary for each specific service to comply with applicable laws and regulations and achieve specific service objectives. For example, some ViCeph services may only be available to members with medical expertise and may require certification of that expertise for access.

MedBrain reserves the right to modify, suspend, or terminate all or part of the content of the ViCeph website or the ViCeph service for reasons such as compliance with laws and regulations, service maintenance and management, and business decisions. For example, regular or irregular maintenance, bug fixes, or other changes may temporarily suspend the ViCeph homepage or certain activities within the ViCeph service. Additionally, MedBrain may discontinue the ViCeph service in specific regions. If a member violates the terms and conditions or relevant laws, the service may be terminated for that member.

3. Registration

Members who generate content through ViCeph retain intellectual property rights over the created content in accordance with applicable laws and regulations. Intellectual property rights related to ViCeph (such as MedBrain’s trademarks) and intellectual property rights of all materials stored, displayed, or accessed on the ViCeph homepage belong to or are licensed by MedBrain. Without written consent from MedBrain, you are not permitted to modify, copy, reproduce, publish, upload, post, transmit, distribute, sell, license, rent, publicly display, or publicly perform, modify, or create derivative works based on the ViCeph services or any materials found on the ViCeph homepage.

However, members are allowed to view, use, download, and print selected portions of the ViCeph homepage for research, personal, non-commercial purposes, as long as they do not copy or publicly publish the released ViCeph content.

MedBrain will not be responsible for any infringement of intellectual property rights by any third party that may occur during the content creation process by members, nor will it be responsible for any disputes over intellectual property rights among members arising from the use of other members’ content.

4. Types of Services and How to Use Them

MedBrain provides several services for its members, including:

• Dental diagnostic data analysis service: This service utilizes artificial intelligence to analyze diagnostic data related to dental issues, helping dentists gain important insights and support in the treatment planning process.
• Clinical and academic consultation for doctors and researchers: MedBrain offers a platform for doctors and researchers to engage in discussions, share clinical cases, and exchange knowledge and expertise in the dental field.
• Clinical and educational data communication between doctors and patients: This service facilitates safe transmission of clinical data between doctors and patients. It also allows for the provision of educational materials for patients to reference and gain better understanding.
• Education services in the form of video lectures and textual lectures: MedBrain provides educational materials such as video lectures and textual lectures to enhance the knowledge and skills of dental professionals.
• Other services provided through development agreements or additional partnerships: MedBrain may introduce new services or collaborate with other companies to expand the range of services for its members.

To access these services, individuals need to register and become members of MedBrain. The specific process for registration and accessing the services will be provided by MedBrain on its platform. Members may be required to provide certain information and agree to the terms and conditions set forth by MedBrain.

5. Limitations on Service Usage

MedBrain may impose limitations on the use of its services in certain cases, including:

• During maintenance, upgrades, testing, replacement, hacking attacks, or other circumstances that hinder the normal provision of services.
• In the event that service operations become impossible due to force majeure events such as natural disasters, war, explosions, terrorism, etc.
• When a member violates the conditions stated in Article 6 or engages in other prohibited activities.

When MedBrain intends to restrict service usage, it will notify members in advance via email or notifications on the service platform. However, in urgent situations, the notice may be posted after the service restrictions have been implemented. It should be noted that MEDBRAIN is not responsible for any limitations on service usage that are beyond its control.

6. Termination of Service Usage Contract

Members have the right to choose to terminate or cancel their service usage contract by following the termination procedure prescribed by MedBrain. MedBrain may also terminate or cancel a service usage contract with a member for various reasons, including:

• When a member violates the terms and conditions or relevant laws to an extent that makes contract performance difficult.
• When a member provides misleading information, especially regarding the eligibility for service usage.
• When a member engages in fraudulent activities or uses the name or payment information of others.
• When a member uses ViCeph services for illegal purposes.
• When a member interferes with the operations of ViCeph services.
• When a member distributes virus programs or engages in hacking activities.
• Other situations that MedBrain objectively evaluates as necessary to refuse service provision.

In the case of termination or cancellation by MedBrain, members may be given a reasonable period to submit complaints, and if the complaint is justified, the service may be promptly restored.

7. Intellectual Property Rights

Intellectual property rights for the content created by members through the ViCeph service belong to the members as regulated by relevant laws and regulations. However, intellectual property rights related to ViCeph services (such as MedBrain’s trademarks) and the intellectual property rights of the documents stored, displayed, or accessed on the ViCeph homepage belong to or are licensed by MedBrain. Members are not allowed to modify, copy, reproduce, publish, upload, post, distribute, sell, license, publicly display, perform, or create derivative works based on ViCeph services or materials without the written consent of MedBrain. However, members may view, use, download, and print selected portions of the ViCeph homepage for personal, non-commercial purposes and information sharing, as long as they do not publish default content from ViCeph. MedBrain is not responsible for any infringement of third-party intellectual property rights arising from member-generated content or disputes between members regarding the use of each other’s content.

8. Data Management Policy

ViCeph services involve the transfer, storage, copying, deletion, and modification of data related to cloud services. MedBrain requires data management rights to provide these services effectively. By using ViCeph services, members grant MedBrain the right to use, store, copy, modify, transmit, disclose, interpret, publicly post, distribute, or create derivative works based on the data provided by members. This license remains in effect even if members cease to use the services or deactivate their accounts, and MedBrain may use the data to improve existing services or develop new ones.

9. Collection of Personal Information

MedBrain is committed to protecting the personal information of its members in accordance with relevant laws and regulations. The company complies with a personal information processing policy to ensure that the processing and use of personal information are carried out correctly.

In general, MedBrain does not provide personal information to third parties without the individual’s consent, except when it is necessary to provide information to investigative agencies or other relevant authorities as required by applicable laws.

When necessary, MedBrain may provide information to authorized companies for investigative purposes, and those companies assume responsibility for managing and supervising the secure processing of users’ personal information.

MedBrain does not collect personal information from individuals under the age of 18.

It is important to review and understand MedBrain’s privacy policy and specific terms of service to gain a comprehensive understanding of how the company handles personal information and protects users’ privacy.

10. Authorization of Personal Information for ViCeph Service

When a member provides data to MedBrain for the use of the ViCeph service, the member retains all legal rights to personal information (patient information) and must obtain consent from the information subject (patient) to authorize the personal information (patient information).

Violation of relevant laws, terms and conditions of the ViCeph service, and related operational policies regarding the authorization of personal information (patient information) may result in the temporary suspension of ViCeph service, deletion of personal information (patient information), restriction of member’s use of ViCeph service, or temporary suspension of account activity. MedBrain is not responsible for disputes between members and information subjects (patients) or any damages caused to information subjects due to violations of laws and regulations.

By agreeing to these terms and conditions, the member is considered to have authorized the processing of personal information by MedBrain under Article 11 of Decree on Personal Data Protection 13/2023/NĐ-CP dated April 17, 2023 by Vietnam’s government. Please note the following information related to the authorization of personal information:

• Purpose and scope of authorized work: MedBrain processes personal information (patient information) authorized by members only for the purpose of providing the service. Under no circumstances does MedBrain process personal information (patient information) beyond the scope of the authorized purpose.
• Authorization period: MedBrain is authorized to process personal information (patient information) for the duration of the member’s use of the service.
• Restrictions on transfer: MedBrain is prohibited from transferring or authorizing any personal information (patient information) authorized by members to third parties unless prior consent is obtained from the member. By agreeing to these terms and conditions, the member is considered to have read and agreed to the details related to the re-authorization of personal information (patient information) as described above.
• Protection measures for personal information (patient information): MedBrain implements necessary technical and management measures to ensure the security of authorized personal information (patient information) and complies with relevant provisions in the Decree on Personal Data Protection 13/2023/NĐ-CP.
• Monitoring-related issues, including monitoring Personal Information Management (Patient Information): MedBrain provides members with access rights to monitor the status of authorized personal information (patient information), including access history and usage for other purposes. Members can also request confirmation regarding compliance with regulations and restrictions on re-authorization, as well as inquire about the implementation of security measures such as encryption.

11. Processing Anonymous Information

Anonymous information refers to data that cannot be identified or linked to any specific individuals when combined with other available information, considering factors such as time, cost, and technology. During the use of the ViCeph service, members may provide or disclose anonymous information to MedBrain and other members. In such cases, the consent of the information subject (patient) mentioned in Article 7 is not required.

For example, images that cannot be used to identify a patient through available technological means can be considered anonymous information.

MedBrain does not guarantee the complete anonymity of anonymously provided or disclosed information by members. Members are responsible for any risks arising from insufficient anonymization. Prior to providing anonymous information, it is necessary to consider and ensure the appropriateness of the anonymization process.

Furthermore, anonymous information disclosed by members in the database may be freely used by MedBrain for purposes such as developing new services.

12. Protection and Management of Personal Information

MedBrain collects and uses personal information within authorized data from its members, including their own personal information, only for the agreed-upon purposes and scope, and does not provide it to any third party other than MedBrain without the member’s consent. Personal information is managed securely and in compliance with current laws and regulations on personal data protection.

Information subjects (patients) have the right to request access, modification, or deletion of their personal information from MedBrain at any time. Members can also withdraw their consent to provide personal information to MedBrain.

13. Member Responsibilities

By confirming that they are 18 years of age or older, members agree to review and comply with these Terms and Conditions upon registration. Violation of these terms and conditions may result in the temporary suspension of the ViCeph service and termination of the account. Members are prohibited from engaging in the following activities:

• Providing false member information during the registration process
• Selling, transferring, loaning, or providing their accounts as collateral to others
• Allowing the use of their account without authorization
• Using the ViCeph service for fraudulent purposes or in violation of the law
• Impersonating individuals or organizations or falsely representing a relationship with them
• Engaging in harmful actions or disruptions that may damage or interfere with the ViCeph service, including hijacking activities or monitoring hardware, software, or devices
• Disseminating viruses, computer worms, Trojans, time bombs, spyware, or other computer code that may limit or prevent others from using the ViCeph service
• Deleting, obfuscating, or modifying copyright notices, trademarks, or other ownership notices on the ViCeph website

If a member fails to fulfill their obligations under these terms and conditions, MedBrain reserves its rights, even if it does not enforce them immediately or delays enforcement. In such cases, any revocation of member privileges will also be carried out by MedBrain in writing.

In addition, members are responsible for protecting their accounts and the content they post by not sharing login information, not granting access to others, and increasing the security of devices accessing ViCeph against computer viruses, worms, Trojans, and network attacks.

14. MedBrain’s Responsibilities

MedBrain is not liable for any unforeseeable special damages or punitive damages. Additionally, MedBrain is not responsible for damages caused by natural disasters or events beyond its control.

MedBrain does not provide any warranties, either explicit or implied, regarding the accuracy, suitability, timeliness, completeness, or reliability of the following:

• Results of the ViCeph service (simulation results, etc.)
• Content generated by members during the use of the ViCeph service
• All content included on or transmitted through the ViCeph website
• Treatment plans created by doctors using the ViCeph service and their subsequent medical actions

While the ViCeph website may contain links to third-party websites, including social media platforms such as Facebook and YouTube, these links are provided for members’ convenience only. MedBrain does not endorse or guarantee the content of external websites or social media platforms.

Members are prohibited from using the ViCeph service for any commercial or business purposes. MedBrain is not responsible for any legal liabilities or losses incurred by members through such use.

15. Compensation

If a member intentionally or unintentionally violates these Terms and Conditions and causes damage to MedBrain, they are responsible for compensating for the incurred damages.

In the event that MedBrain receives a complaint, including a claim for compensation or a lawsuit from a third party due to a member’s violation of the law or these terms and conditions, the member must compensate MedBrain for their responsibilities and costs.

16. Payment and Refunds

Payment for fee-based services can be made through the methods specified by MedBrain. Members are responsible for any transaction fees or fees associated with the payment method.

The fees for fee-based services are determined by MedBrain and may be subject to change. Changes to the fees will be notified to members in advance through appropriate means such as the ViCeph website or email.

Refunds for fee-based services may be granted according to MedBrain’s refund policy. The refund policy will be clearly stated on the ViCeph website or provided separately to members.

17. Termination of Service

MedBrain may terminate or suspend the provision of the ViCeph service in the following cases:

• Regular maintenance or service updates
• Unexpected system failure or technical difficulties
• Changes to the scope or service policies
• Violation of these Terms and Conditions by a member
• Other justifiable reasons determined by MedBrain

In the event of termination or suspension of the ViCeph service, MedBrain will provide prior notice to members through appropriate channels.

18. Applicable Law and Jurisdiction

These Terms and Conditions are governed and interpreted under the laws of the jurisdiction where MedBrain is headquartered.

Any disputes arising from the use of the ViCeph service will be resolved through good-faith negotiations between the parties. If an agreement cannot be reached, the dispute will be submitted to the competent court in the jurisdiction where MedBrain is headquartered.

19. Dispute Resolution

In a spirit of goodwill, MedBrain seeks to resolve disputes without resorting to formal legal proceedings.

Before filing a complaint against MedBrain, the complaining party must agree to resolve the dispute through negotiation. MedBrain will attempt to resolve the dispute through email communication. If the dispute is not resolved within 45 days from the date of submission, the complaining party or MedBrain may initiate formal legal procedures.

All disputes with MedBrain are solely based on an individual basis and shall not be brought as a class action, consolidated action, or representative action by any individual or group of individuals. MedBrain does not accept class arbitration, class actions, private attorney general actions, and consolidation with other arbitrations. If this specific provision cannot be enforced, then these terms shall be deemed null and void according to applicable law.

20. Severability

If any provision of these Terms and Conditions is determined to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

21. Entire Agreement

These Terms and Conditions constitute the entire agreement between MedBrain and the members regarding the use of the ViCeph service and supersede any prior agreements or understandings, whether written or oral.
